Reminder: Bonus depreciation is great until you sell your asset. Then you pay "recapture" tax and those losses become gains. Be prepared and make sure the savings now is worth the expense later!

@stokeproperties @CaseyMericle I assume the future buyer of the business. Related party transaction. They will discount the value of the operating business accordingly and the value of the property goes up for the 1031. I presume that’s the point of pushing the value there.

@stokeproperties I’ve seen this exact situation with a healthcare roll up. Just as @CaseyMericle said, the owner of both the the businesses and the real estate increased the rents by 4-5x. Then the real estate was sold to a REIT and the profits could be 1031’ed into other properties.
@stokeproperties Yea - and thinking about it properly, any sort of inflated Re value is gonna mess with taxes, valuations, financing, insurance. You’re best bet is to fix up the building so your comps come in high,and sell the business with the building. Good luck

@stokeproperties Just brainstorming you can lease your “business” to the real estate with a contract that has a significant revenue share baked in. I.E - rent is $12k + 70% of sales. Etc. But as recommended, you need an attorney for sure.
@stokeproperties You would have a contract for the business and a contract for the real estate. You will probably be in conflict with the buyer on how they value each though.
@stokeproperties Based on the value of these businesses, you need a very real (non-twitter) tax professional. Nuance is important in the wording of your contracts for the sale in case the IRS looks in to it. A good tax pro can save you millions on this. Don’t skimp. GL!
