This guy bought a $400 Mac mini and walked into a coffee shop with $2,100 for installing an AI agent that never touches the internet. I had to rewatch this because the pitch is almost too simple. He shows up, plugs in the Mac mini, installs a local AI agent running entirely through Ollama, done in under an hour. Zero cloud dependency, no API bills, no monthly charges bleeding the client dry. The coffee shop owner gets a private AI system that keeps working even if the WiFi dies, and he walks out with $2,100 for an install that takes less time than a long lunch. The hardware cost him $400. One deployment and the machine's already paid for five times over. Then he locks in a monthly retainer for support, somewhere around $100-150, which means every client after the first is close to pure margin stacking on top of recurring revenue. Most people hear "AI business" and think they need to build a SaaS platform or learn to code or raise funding from someone. This skips all of that and goes straight to walking into coffee shops with a Mac mini under one arm. Not a company that scales to a billion dollars, obviously, but a solo operator clearing a few thousand a month from local installs while everyone else is still arguing about which LLM is best on Twitter.

Mi consejo del día es que, en cualquier operación de financiación (ya sea de capital o deuda), a menos que tengas una liquidez desbordante, nunca aceptes cubrir los gastos del financiador hasta que se firmen los contratos vinculantes. Lo he visto en varias ocasiones (en las que el financiado ha hecho oídos sordos a mis recomendaciones) y la posición de debilidad en la negociación en la que queda el financiado (sobre todo si el financiado va justo de tesorería) es mortal. Y si el financiador es un fondo de private equity despiadado (no todos lo son) que aprovecha la debilidad para exigir condiciones irrazonables o incluso modificar los términos acordados en el term sheet, tu única defensa contra la asunción de sus gastos será la negociación de mala fe. Argumentación muy complicada de defender exitosamente en la práctica, por la necesidad de probar la mala fe, pues, como reza el art 434 CC (que se redactó 100+ años antes de que apareciera la clase política actual), “la buena fe se presume siempre”.

La acusación de fraude fiscal contra Javier de Jaime, socio director de CVC en España, nos ponen en el foco de atención del private equity mundial (y no por buenos motivos). Hoy el FT se hace eco del caso. En motivo de la cuita es la la tributación del “carried interest”, que, como sabéis, es la remuneración que recibe el gestor de un fondo de capital privado como participación en las ganancias (si las hubiere) del fondo (y que habitualmente asciende al 20% de dichas ganancias). Presuntamente, Javier de Jaime utilizó complejos entramados societarios para acabar declarando dichos ingresos como rentas del capital (que tributa al más benigno tipo de las rentas de capital), en lugar de como rentas del trabajo (que tributa al expropiatorio tipo marginal). En España, hasta el año 2022, la fiscalidad del “carried interest” (principal fuente de ingresos de los gestores de fondos de capital privado) no tenía en cuenta el evidente elemento de riesgo e incertidumbre (propio de la remuneración del capital) que tiene este tipo de retribución y, por ende, tenía un carácter expropiatorio (al integrarse en la base imponible general del IRPF sujeta al tipo marginal de gravemen -entre el 45%-52%, en función del territorio donde resida el sujeto en cuestión-). Hasta tal punto esta fiscalidad expropiatoria hacía perder competitividad a nuestras (tan necesarias) gestoras de capital privado frente a las gestoras de otros países (e incluso frente a las gestoras de territorios forales dentro de la propia España, donde el “carry” ya gozaba de una fiscalidad benigna) que el Gobierno aprovechó la tramitación de la Ley de Startups para introducir la que -probablemente- sería la única medida relevante de la nueva norma: la reducción, en base imponible del 50% de los ingresos por “carried interest” (lo que, en la práctica, acaba asimilando la tributación efectiva del carry a la de las rentas del capital)
