@KHendersonCo @SMB_Attorney Your point in the pod about minority investors not being able to take distributions is incorrect. They can’t get distributions if their capital is part of the mandatory 10% injection; if it’s above the 10% they can get distributions.

@SMB_Attorney Most will never be salable because they are not professionalized businesses the way M&A professionals & banks require. They cannot carry debt. Most owners shouldn't be told they can sell, because they can't. Most should arrange an earn-in with their GM, kid, or a smart local.

@EndresenHeather This behavior no doubt had an inflationary effect on the market as well. The tax payer shouldn’t be on the hook for higher multiples on small businesses enabled by gov guaranteed loans that lazy banks usher through the underwriting process.

@EndresenHeather Everything you are saying makes it crystal clear why these new SBA regs are coming. Banks weren’t doing their job underwriting loans. It kind of sounds like there were a lot of service providers enabling that lazy behavior too.

@dylangans "this is data not dunking" -> then where is the data? Answer - there isn't any. This is bunk. If anything these rules are taking a swing at investor groups who find a deal and then find a low-information searcher to take a PG with relatively little ownership (20-30%).

@EndresenHeather What does it look like to actually file a claim on one of these policies? Do you have to file Chapter 11 first before claiming? Do you have to prove the loan default was somehow out of your control? This seems like a product that must have fine print.

@pmarca 1) This timeline makes no sense, you’re implying if you shift that beginning timeline by 10 mins the end shifts 24 hours? Doesn’t add up 2) The real value unlock is not having to send something for 4 people’s approval across 10-12 time zones.
