@tsxman@inthemoneypod Same advisors and lawyers that Manji used when he went activist with Artis against First Capital. That went nowhere at the time...
@maxwellhouse99@morganhousel@nntaleb Wife and I usually just go to T&T for groceries, but today we had a three course lunch date there and it was a blast.
My local supermarket (well, actually it's $L.to T&T supermarket) offering some essential financial reading in Chinese.
@morganhousel@nntaleb's Black Swan was enough of drag in English, can't imagine it in Chinese.
@Renniestein3@NuggetCapital Deal voted down, but find another buyer with better offer in next 12 months. Something like that...
You gotta DYODD on this one.
Cole Smead is voting AGAINST the H&R REIT deal—and he thinks shareholders could be better off if it falls apart.
The Smead Capital Management CEO bought H&R REIT (HR.UN.TO) around $11 a year ago and says the company is a mess. But he also believes the market has
@tsxman@Cole_Smead@inthemoneypod@Cole_Smead didnt say even more unethical part:
CEO & insiders' plan (per circular) is to keep that cash from the sale, avoid paying the taxes associated with that sale, and leave remaining unitholders with the whole tax bill even though the latter get none of that cash!
$HR.UN mgmt pitches tax-rollover into GO units as advantageous, but since GO unit consideration is only worth $6 CAD/unit, HR unitholders would be better off locking in sale of HR units in transaction.
Sale = realized capital loss.
Tax-rollover = cap loss only when GO unit sold.
I've said taxes on $HR.UN $GO.U transaction would be significant for HR unitholders.
HR unitholders will face taxable income+capital gains of $4.25-$4.75/unit (Cash distribution is only $4.28/unit).
Ho-fraudster & CRAL don't pay those taxes.
@ 40% tax rate => $1.90/unit in taxes.
@viral_xyz@NuggetCapital The business was essentially a game of signing up as many real estate agents under Royal Lepage banner as they can, collect dues from those agents, and pay those dues to the shareholders.
@StantonsLab They also seem really set on doing the SIB. Between a SIB and NCIB, $MTY.TO could retire 10% to 25% of shares (using balance sheet capacity) in the next 1-2 years. That would further help them get a good price on a transaction.
I still believe that $FFH.TO is the most logical buyer for $MTY.TO (at least their Canadian franchises) to combine with Recipe.
I guess Fairfax wanted to spend their capital elsewhere (Boots). Plus, no one wanted MTY's US/Int'l operations...until MTY cleans them up.
$MTY.TO says it will restore its normal course issuer bid and will consider a substantial issuer bid.
MTY plans to increase its quarterly dividend to 50 cents per share from 37 cents per share.
Going through their print now.

@acorn_capital@StantonsLab It could attract buyers who are dividend seekers, I guess.🤷🏻♂️
Still plenty of FCF to pay the increased dividend, pay down debt and repurchase shares.
Priority no. 1 should be to repurchase shares.
@tsxman CRAL is trading 44M units for basket of "non-core" assets.
Assuming $12.01/unit value, 44M*$12.01=$528M.
So CRAL is paying $528M for the assets, but a single one of those assets already makes up $436M in value? What's the rest of that basket worth?
