Met a waiter at a steakhouse who probably adds $20k/mo to the restaurant. Made me feel stupid because I thought he was just taking orders. Legit assassin. No pressure in his voice ever. No fake smile. No hard sell. Controls the table like he’s done it 10,000 times. He taught me something that changed everything about how I sell premium offers. We sat down and my friend said he wasn’t going crazy tonight. Just wanted something simple. The waiter looked at the menu, pointed at 3 steaks, and said: “If you want a normal dinner, the sirloin is solid. If you care more about flavor, the ribeye makes sense. But if you came here for the full experience, that’s the tomahawk.” Then he shut up as if nothing had happened. No explanation. No recommendation. No “this is our best one.” That hit me different. People are trying way too hard to sell. You’re “explaining” your deliverables. You’re “proving” your value. You’re “justifying” why your premium offer costs what it costs. Meanwhile killers don’t explain. They frame. They position. They let the buyer feel the gap. My friend ordered the $280 tomahawk 60 seconds later. Old me would’ve thought the waiter upsold him. The new me saw what actually happened. He made the cheap steak feel basic, the middle steak feel safe, and the expensive steak feel like the only serious choice. That is The Menu Frame. Your prospect doesn’t need another 30-minute pitch about your process. He needs to see the difference between the small fix, the partial solution, and the full outcome. Because once the cheap option feels like a compromise, the premium option stops feeling expensive. It starts feeling obvious. Your pricing isn’t the problem. Your frame is weak.

Why the Model Works INEOS retains businesses indefinitely, finances acquisitions entirely with debt, and never sells equity. 1) Permanent capital without equity dilution All acquisitions funded through leveraged debt preserves 100% ownership indefinitely. The company has never sold a single share of equity in 27 years. 2) Arbitrage on corporate strategic myopia: Large public companies systematically undervalue cyclical industrial assets because analysts cannot model quarterly earnings predictability. INEOS can hold assets through the cycle and capture the full economic value. 3) Speed as competitive advantage The federated structure eliminates committee approvals; the private ownership eliminates board governance latency. INEOS regularly makes decisions in hours or days that take competitors weeks or months. 4) The 30-40 cents on the Dollar IINEOS systematically targets assets from corporates undergoing strategic pivots. Buying at 30–40 cents on the dollar effectively triples return on capital relative to building an equivalent asset from scratch. 4) 80/20 Rule in M&A Jim claims an extraordinary 80% success rate on acquisitions. He attributes this to two disciplines: A) Willingness to Walk Away. "The main reason for failure in M&A is that the buyer wants it too much" B) Integration Playbook From day one of any acquisition, INEOS deploys a standard toolkit: Corporate credit cards cancelled Spending delegations returned to board level Financial reporting standardised Management structure federated The "INEOS-ing" of an acquisition is rapid, disorienting for the incoming management.

Just as long as I think it’s going to make loads of cash over the business cycle. 5. The main reason for failure is that the buyer wants it too much. Having the strength to walk away is helped by having choices. 6. We mopped up unfashionable, unsexy, commodity and bulk chemical businesses for attractive, or at the very least fair, prices. 7. We don’t worry about top of cycle, because if you are profitable at the bottom, you sure as hell profit at the top. 8. When people ask me what difference being private makes, I tell them that January 1st is the day after December 31st. 9. It is all about money, and the numbers. Money and generating equity return. 10. You must have the courage of your convictions… put your head above the parapet, and be prepared to be shot at once in a while. 11. One of the things I love about debt is that you can always pay it back or exchange it… Once equity has been sold, you should consider it gone for ever. 12. People often ask me whether we plan to take INEOS public. I can think of no place I would rather not go, including the South Pole.
